01Acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of bionicholdings.com (the "Site"), operated by Bionic Holdings, LLC ("Bionic Holdings," "we," "us," or "our"). By using the Site, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Site.

If you use the Site on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

02About the Site

Bionic Holdings is a private operating company. The Site provides general information about our business, operating model, and interest in acquisitions, partnerships, and ventures, and a way to submit opportunities to us.

The Site does not offer services to the public, and nothing on it creates a client, advisory, agency, or partnership relationship between you and Bionic Holdings.

03No offer of securities or advice

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security, fund interest, or other investment product. Any offer of that kind would be made only through definitive written documentation, to eligible persons, and in compliance with applicable securities laws.

Bionic Holdings is not a registered investment adviser, broker-dealer, lender, insurer, or healthcare provider. Nothing on the Site is investment, legal, tax, accounting, financial, medical, or insurance advice. Consult your own professional advisers before making any decision.

04Information, metrics, and forward-looking statements

Content on the Site, including metrics, telemetry displays, loss profiles, and descriptions of systems or verticals, is provided for general illustrative purposes. It may be simplified, representative, or out of date. It is not audited and is not a guarantee, prediction, or projection of results.

Statements about our plans, strategies, or expectations are forward-looking and involve risks and uncertainties. We have no obligation to update them. You should not rely on any content on the Site in making investment, transaction, or business decisions.

05Submissions

If you submit information through the deal flow form or by email ("Submissions"):

• Non-confidential. Submissions are not confidential and do not create any confidential, fiduciary, advisory, or partnership relationship, unless and until you and Bionic Holdings sign a separate written non-disclosure or other agreement that says otherwise.
• No obligation. We have no obligation to review, evaluate, respond to, or pursue any Submission, or to explain our decision.
• Independent development. We build and evaluate businesses, offers, and technology across many markets. We may already be developing, or may later develop or pursue, ventures, products, or ideas similar to those in your Submission. Your Submission doesn't restrict us from doing so, and no compensation is owed to you as a result, except as provided in a separate signed agreement.
• Your responsibilities. You represent that you have the right to share the Submission, that it is accurate to the best of your knowledge, and that it does not include material non-public information, trade secrets, or confidential information belonging to you or anyone else.
• Use of Submissions. You grant us a non-exclusive, royalty-free right to use, store, and share your Submission internally and with our advisers and potential co-investors for the purpose of evaluating the opportunity.

06Acceptable use

You agree not to:

• Use the Site in violation of any law or regulation
• Submit false, misleading, or fraudulent information, or impersonate any person or entity
• Scrape, crawl, or harvest content or data from the Site by automated means, except standard search engine indexing
• Probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measure
• Interfere with the Site's operation, including through denial-of-service attacks, malware, or excessive requests
• Copy, frame, or mirror the Site, or use it to build a competing product
• Send spam, unsolicited promotions, or bulk submissions through the form

If you believe you have found a security vulnerability, report it to security@bionicholdings.com rather than testing it further. We appreciate good-faith reports.

07Intellectual property

The Site and its content, including text, design, graphics, code, logos, and the Bionic Holdings name, are owned by or licensed to Bionic Holdings and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your own informational purposes.

You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Site without our prior written permission. All rights not expressly granted are reserved.

08Third-party links

The Site may link to websites or services we don't control. We aren't responsible for their content, policies, or practices, and a link doesn't mean we endorse them. Your use of third-party sites is at your own risk and subject to their terms.

09Disclaimer of warranties

The Site and all content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any content is complete or current.

Some jurisdictions don't allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

10Limitation of liability

To the fullest extent permitted by law, Bionic Holdings and its affiliates, owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or related to the Site, its content, or any Submission, even if advised of the possibility of such damages.

Our total liability for any claim arising out of or related to the Site or these Terms will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions don't allow these limitations, so they may not fully apply to you.

11Indemnification

You agree to indemnify and hold harmless Bionic Holdings and its affiliates, owners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of your use of the Site, your Submissions, or your violation of these Terms or any law or third-party right.

12Governing law and disputes

These Terms are governed by the laws of the State of State, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in County, State, and you consent to the personal jurisdiction of those courts.

Any claim must be brought within one year after it arises, or it is permanently barred, to the extent permitted by law.

13Changes to these terms

We may update these Terms from time to time. The updated version takes effect when posted, and we will revise the "last updated" date at the top of this page. Your continued use of the Site after changes are posted means you accept them.

We may also modify, suspend, or discontinue the Site, or any part of it, at any time without notice.

14General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Bionic Holdings about the Site. A separate signed agreement, such as a non-disclosure agreement, controls for its subject matter.
• Severability. If any provision is found unenforceable, the rest remain in effect, and the provision will be enforced to the maximum extent permitted.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our written consent. We may assign them without restriction.
• Survival. Provisions that by their nature should survive termination, including those on submissions, intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.
